Every person who has reached the age of 18 regardless of their citizenship can found a company. You can start by selecting the services you want to offer and proceed with the administrative part of registering it.

Let us explain why you should register a company in Bulgaria. There are a lot of tax benefits and we are a member of the European Union which allows you to develop your business in Europe and worldwide.   • Corporate Profit Tax – 10% flat

  • Dividend Tax – 5%

  • Distributed to EU/EAA Companies – 0%

  • VAT – 20%

  • VAT on Tourism – 9%

  • VAT on Export – 0%

Even if you are not located in Bulgaria but still want to found a company here there is a possibility to do that without visiting the country. It is a little bit more complicated but not impossible – the company’s Director just needs to visit Bulgarian Embassy or Consulate.

According to the Bulgarian law you can start a company with 2 BGN (€1) which would be a Limited Liability Company. It must be deposited in a local bank prior to the registration.

The company must have a business address in Bulgaria whereas the registration process does not require to provide any lease or ownership documents of the address.

Keep in mind that there are several monthly and annual obligations regarding your company – monthly social security tax, if registered under VAT – monthly VAT declarations, annual

financial declaration for the whole previous year at the National revenue agency and annual financial report at the Commercial register.

The registration itself as a procedure that is carried out before the Registration Agency takes one working day. Preparing the documents, signing some of them in front of a notary and depositing the company capital in a bank often takes more time. Usually, the registration process from the moment you contact us to the final registration takes 3-4 working days.

We need your help regarding the following:

    1. To provide us with the necessary information about the company such as name, address and other data that we will request.

 

    1. To visit a notary public to have your signature certified.

 

    1. To open a bank account of the company in which its capital is deposited.

 

    1. Send us the signed documents that we will send you for registration.
In addition to the price of our service, you must prepare funds for the following:

    • BGN 55.00 is the state fee for company registration.

 

    • ~ BGN 20.00 is the bank fee for opening a capital account.

 

    • BGN 6 are paid to a notary for certification of 1 pc. Signature.

Choose a free name whatever you want without considering any restrictions. If the name is taken or otherwise unsuccessful, we will inform you and help you choose another.

If you have an office, commercial or business premises to use, it is appropriate to indicate its administrative address. If not, any other address will do. It doesn’t have to be an office. You can also use your personal address.

EOOD is a Sole Proprietorship with Limited Liability, where the owner is always one person. The manager of the company can be the owner or another person.

Ltd. is a Limited Liability Company and is established by two or more persons. They are called partners. Managers of the company can be the partners or another person.

The partner is practically the owner of the company, and the manager is only the person who manages it. There is no obstacle for the manager to be a partner as well.

The capital of the company is a fixed amount with which the company starts its activity. Separately, the company may have other assets in the form of money, real estate or motor vehicles.
